Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Kodeoo (the "Service"), a content creation platform for real estate professionals. The Service is operated by AZURAVA (SASU), a company registered in France (SIREN 937 750 974), whose registered office is at 60 rue François Ier, 75008 Paris, France ("Kodeoo," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Kodeoo helps real estate agents create and schedule social media content, including AI-assisted captions, reels scripts, listing posts, photo editing and a public agent page. Features available to you depend on your plan. We may update, add or remove features over time.

2. Accounts

You must provide accurate information and keep your login credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and use the Service for your professional real estate activity.

3. Plans, billing and cancellation

This section describes a recurring subscription with automatic renewal (a "negative option" feature). Please read it carefully. By starting a free trial or a paid plan, you expressly authorize the charges described below.

• Discovery access: when you sign up, you get free discovery access for 7 days, with no payment method required. It lets you upload photos and videos and create one free personalized post (one per person). Downloading, publishing or scheduling that post requires a paid plan. No subscription starts automatically. If you don't subscribe within 7 days, your free post and uploaded photos and videos are deleted; your account is kept.
• Free trial: some plans may include a 7-day free trial, limited to one trial per person, household and payment method. Creating multiple accounts or using multiple cards to obtain additional trials may result in closure of the accounts involved. A valid payment method is required to start the trial, but no charge is made during the 7-day trial.
• Authorization to charge: by entering your payment method and starting the trial or plan, you authorize us and our payment processor, Stripe, to automatically charge that payment method the amount of your plan when the trial ends and on each renewal thereafter, until you cancel. This is your express, informed consent to recurring charges.
• Clear disclosure and reminder: the exact amount and the date of your first charge are shown to you before you complete sign-up. We also send a reminder email before your free trial ends. You acknowledge that you receive all information needed before any charge occurs.
• Conversion: at the end of the trial, your subscription continues automatically at the current price and the first payment is taken on day 8, unless you cancel before the trial ends. Cancelling during the trial takes only a few clicks in your account and prevents any charge.
• Early activation: you may choose to activate your subscription before the trial ends (the "Activate now" option). Doing so ends the free trial immediately and triggers the first payment right away. An explicit confirmation is requested before any charge.
• Recurring billing: paid plans are billed in advance on a recurring basis (monthly or yearly) through Stripe, in U.S. dollars and exclusive of any applicable sales tax. Subscriptions renew automatically at the end of each billing period until you cancel.
• Easy cancellation: you can cancel at any time from your account, through a process at least as simple as signing up ("click to cancel"). Access continues until the end of the paid period. We do not require you to call or email to cancel.
• Refunds: except where required by applicable law, payments are non-refundable, including for partial periods, unused credits, and charges that follow a free trial you did not cancel in time. We may, at our sole discretion and without creating any right, grant a goodwill refund.
• Disputes and chargebacks: before disputing a charge with your bank, you agree to contact us first at contact@kodeoo.fr so we can resolve the issue, which we typically do quickly (cancellation or goodwill refund). A chargeback on a charge you validly authorized, where the Service was made available to you, is without merit; we reserve the right to contest it with our records, suspend the account, and recover amounts due and related fees. Electronic records kept by us and Stripe (sign-up and consent timestamps, IP address, stored payment method, communications, and usage logs) are evidence of the subscription, the payment authorization, and your use of the Service.
• We may change prices for future billing periods with reasonable notice.

4. AI-generated content — your responsibility

The Service uses artificial intelligence to help generate text, captions, scripts and other content. AI output may be inaccurate, incomplete or outdated. You are solely responsible for reviewing, verifying and editing any content before publishing it, including all figures, statistics, prices, property details and claims. Kodeoo does not guarantee the accuracy of AI-generated content and is not responsible for content you choose to publish.

5. Fair Housing and real estate compliance

You are responsible for ensuring that all content you create, personalize or publish through the Service complies with applicable laws, including the federal Fair Housing Act and any state or local fair housing laws. You must not use the Service to create or distribute content that expresses, directly or indirectly, any preference, limitation or discrimination based on race, color, religion, national origin, sex, familial status, disability or any other protected characteristic. You are also responsible for complying with real estate advertising rules, MLS rules and any disclosure or licensing requirements that apply to you.

6. Your content and license

You retain ownership of the content, photos and information you upload. You grant Kodeoo a limited license to host, process and display that content for the sole purpose of operating the Service for you (for example, generating posts, rendering previews and, where you enable it, publishing to your connected social accounts). You represent that you have the rights to the content you upload and that it does not infringe third-party rights.

7. Third-party platforms

The Service can connect to third-party platforms such as Instagram and Facebook (Meta). Your use of those platforms is governed by their own terms and policies. We are not responsible for third-party platforms, and publishing or scheduling depends on their availability and rules.

8. Acceptable use

• Do not use the Service for unlawful, misleading or fraudulent purposes.
• Do not upload content that is illegal, infringing, defamatory or discriminatory.
• Do not attempt to disrupt, reverse engineer or gain unauthorized access to the Service.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or that content will produce any particular business result.

10. Limitation of liability

To the maximum extent permitted by law, Kodeoo will not be liable for any indirect, incidental, special or consequential damages, or for lost profits or lost business, arising out of or related to your use of the Service. Our total liability for any claim will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or misuse the Service. Upon termination, your right to use the Service ends; sections that by their nature should survive will survive.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Your continued use of the Service after changes take effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of France, without prejudice to any mandatory consumer protection rules that apply to you in your place of residence.
